Affiliate Programme Agreement

This Affiliate Programme Agreement ("Agreement") is entered into between Mugawe Investments Uganda Limited, trading as Tapvela ("Tapvela", "we", "us"), a company incorporated in Uganda, and the individual or entity that applies to and is accepted into the Tapvela Affiliate Programme ("Affiliate", "you").

By submitting an application or using your referral link, you agree to be bound by this Agreement in full.

1. Definitions

"Affiliate Link" means the unique URL issued to you by Tapvela, incorporating your referral code, which tracks traffic and purchases attributable to you.

"Confirmed Sale" means a purchase made on tapvela.com by a Referred Customer that has been fully paid, not cancelled, and not refunded.

"Commission" means the percentage of the net order subtotal payable to you for each Confirmed Sale.

"Attribution Window" means the 60-day period from a user's first click on your Affiliate Link during which a resulting purchase is attributed to you.

"Dashboard" means the Affiliate Portal at tapvela.com/partner where you can view earnings, referrals, and request payouts.

"Minimum Payout Threshold" means UGX 50,000.

"Net Subtotal" means the value of items in a Confirmed Sale, excluding delivery charges, taxes, and any amounts refunded.

2. Programme Overview

The Tapvela Affiliate Programme allows approved individuals and businesses to earn commission by referring customers to tapvela.com. You earn a commission on every Confirmed Sale made by a customer who arrived via your Affiliate Link within the Attribution Window.

3. Application and Eligibility

3.1 To join the Programme you must submit an application through the Tapvela website. Approval is at Tapvela's sole discretion.

3.2 You must be at least 18 years old and legally capable of entering into contracts.

3.3 You must disclose your relationship with Tapvela in all promotional content, in accordance with applicable advertising standards and the requirements of the Uganda Communications Commission.

3.4 Tapvela reserves the right to reject any application without giving reasons.

4. Affiliate Link and Tracking

4.1 Upon approval, Tapvela will issue you a unique referral code and Affiliate Link.

4.2 Commission is tracked via a first-click attribution model. If a customer clicks more than one affiliate's link before purchasing, the affiliate whose link was clicked first within the Attribution Window receives the commission.

4.3 The Attribution Window is 60 days from the date of a customer's first click on your Affiliate Link.

4.4 Tapvela uses server-side tracking. You acknowledge that browser-based tracking limitations (e.g. ad blockers, private browsing) may affect attribution and Tapvela cannot guarantee every referral will be captured.

4.5 You must not modify your Affiliate Link or attempt to manipulate tracking in any way.

5. Commission

5.1 Rate. Tapvela will pay you a commission of 10% of the Net Subtotal of each Confirmed Sale attributed to your Affiliate Link.

5.2 Snapshot. The commission rate applicable to a sale is the rate in effect at the time the order is placed, as recorded in the Tapvela system. Tapvela may change commission rates with 14 days' written notice. Changes do not apply retroactively.

5.3 Accrual. Commission accrues when an order achieves Confirmed Sale status. Commission is reversed if an order is later cancelled, refunded, or found to be fraudulent.

5.4 No self-referrals. You may not use your own Affiliate Link to purchase Tapvela products. Any such commission will be forfeited.

5.5 Single tier. The Programme is single-tier. You do not earn commission on sales generated by other affiliates.

6. Payouts

6.1 Schedule. Tapvela processes payouts every Friday at 18:00 East Africa Time (EAT), subject to the Minimum Payout Threshold being met.

6.2 Minimum Threshold. Your accrued commission balance must reach UGX 50,000 before a payout will be issued. Balances below this threshold roll over to the following week.

6.3 Payment Methods. Payouts are made via Mobile Money (MTN or Airtel Uganda) or Ugandan bank transfer, to the account details you provide in your Dashboard. Tapvela is not responsible for delays caused by incorrect account details.

6.4 Taxes. You are solely responsible for any income tax, withholding tax, or other levies arising from commission payments. Tapvela will withhold tax only where required by Ugandan law.

6.5 Disputes. You must raise any payout dispute within 30 days of the payout date by contacting support@tapvela.com. Disputes raised after this period will not be considered.

7. Affiliate Obligations

• Promote Tapvela products honestly, accurately, and in a manner consistent with Tapvela brand guidelines.
• Clearly disclose your affiliate relationship to your audience in every piece of promotional content (e.g. "#ad", "#partner", or equivalent plain-language disclosure).
• Not make false or misleading claims about Tapvela products, pricing, or features.
• Not engage in spam, unsolicited messaging, or any form of promotion prohibited by applicable law.
• Not bid on Tapvela brand keywords (including "Tapvela", "tapvela.com") in paid search advertising without Tapvela's prior written consent.
• Not place Affiliate Links in email campaigns without proper unsubscribe mechanisms compliant with applicable law.
• Not promote Tapvela on sites or platforms that feature illegal content, hate speech, explicit material, or content that is otherwise harmful or offensive.
• Comply with all applicable laws, including Uganda's Data Protection and Privacy Act 2019 if you collect personal data in connection with your promotional activities.

8. Prohibited Conduct

The following are grounds for immediate termination and forfeiture of all unpaid commissions:

• Self-referral or referral of associates to manipulate commission
• Cookie stuffing, forced clicks, or any form of tracking manipulation
• Creating fake orders or accounts
• Impersonating Tapvela or using Tapvela branding in a way that implies you are Tapvela
• Offering cash-back, rebates, or incentives to customers funded by your commission without Tapvela's written approval
• Any fraudulent, deceptive, or unlawful conduct

9. Intellectual Property

9.1 Tapvela grants you a limited, non-exclusive, non-transferable, revocable licence to use Tapvela's approved logos, brand assets, and product descriptions solely for the purpose of promoting Tapvela products under this Agreement.

9.2 You must use only assets provided or approved by Tapvela. You may not alter, distort, or create derivative works from Tapvela's brand assets.

9.3 This licence terminates immediately upon termination of this Agreement.

9.4 Nothing in this Agreement transfers any intellectual property rights to you.

10. Confidentiality

You agree to keep confidential any non-public information disclosed by Tapvela in connection with this Agreement, including commission rates, conversion data, and product roadmap information. This obligation survives termination of this Agreement for two (2) years.

11. Term and Termination

11.1 This Agreement begins on the date Tapvela approves your application and continues until terminated.

11.2 Termination by you. You may terminate at any time by closing your Affiliate account or by written notice to support@tapvela.com.

11.3 Termination by Tapvela. Tapvela may terminate or suspend this Agreement at any time, with or without cause, with 7 days' written notice. Tapvela may terminate immediately and without notice for breach of Sections 7 or 8.

11.4 Effect of termination. Upon termination: (a) your Affiliate Link will be deactivated; (b) accrued commission on Confirmed Sales before the termination date will be paid at the next Friday payout, provided the Minimum Payout Threshold is met and no forfeiture applies; (c) commission on sales occurring after termination will not be paid.

11.5 Tapvela may suspend your account pending investigation of suspected prohibited conduct. Commission accrual is paused during suspension.

12. Representations and Warranties

You represent and warrant that: (a) you have full legal authority to enter into this Agreement; (b) your promotional activities will comply with all applicable laws; (c) you own or have the right to use any content you publish in connection with the Programme; (d) the payment account details you provide are accurate and belong to you.

13. Disclaimers and Limitation of Liability

13.1 The Programme is provided "as is". Tapvela does not guarantee any particular level of earnings.

13.2 Tapvela's total liability to you for any cause whatsoever shall not exceed the total commission paid to you in the three (3) months preceding the claim.

13.3 Tapvela shall not be liable for any indirect, incidental, or consequential loss, including loss of profit or loss of opportunity.

13.4 Tapvela is not liable for tracking failures caused by user browser settings, third-party ad blockers, or platform restrictions beyond Tapvela's control.

14. Indemnity

You agree to indemnify and hold Tapvela, its officers, employees, and agents harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of this Agreement, your promotional activities, or your violation of any applicable law.

15. Amendments

Tapvela may amend this Agreement at any time by publishing the updated version at tapvela.com/affiliate-terms and notifying you by email. Your continued use of your Affiliate Link after 14 days constitutes acceptance of the updated terms.

16. Governing Law and Disputes

16.1 This Agreement is governed by and construed in accordance with the laws of the Republic of Uganda.

16.2 Any dispute arising out of or in connection with this Agreement shall first be referred to good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Kampala, Uganda.

17. General

17.1 Entire agreement. This Agreement constitutes the entire agreement between the parties regarding the Programme and supersedes all prior discussions.

17.2 Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary; the remaining provisions continue in full force.

17.3 Waiver. Failure by Tapvela to enforce any provision is not a waiver of the right to enforce it in future.

17.4 No partnership. You are an independent contractor. Nothing in this Agreement creates an employment, partnership, or agency relationship.

17.5 Assignment. You may not assign this Agreement without Tapvela's prior written consent. Tapvela may assign this Agreement to a successor entity.
